Methodology

Companies are already taking steps to comply with relevant laws and regulations. However, legal compliance is not sufficient to materially improve governance quality and board effectiveness or to protect directors' reputations and financial well-being. Directors and investors expect their board to represent a competitive advantage and be effective in improving corporate performance, sustaining competitive preeminence, increasing corporate value, and avoiding and mitigating crises. 

BEP Methodology:
 
Analyze - Understand the current status of board effectiveness and governance quality by conducting:
  • an independent review of the board's policies, processes, culture, information, and talent;
  • a competitive analysis of governance quality and board effectiveness; and
  • a gap analysis comparing the board with benchmark companies, BEP's Roadmap, governance databases, and D&O underwriters' guidance.
Plan - When change is warranted - partner with board leaders and the CEO to develop a transition strategy and timeline, including a periodic, documented review to guide the implementation of phased changes designed to ensure a leadership position in board effectiveness.
Guide Implementation - Develop experience-based, time-phased implementation plans that are designed to improve board effectiveness and governance quality. Periodically review and guide progress in materially strengthening:
